Corporate Matters
Mauritius company law is both stable and flexible. Citizen Consult supports clients wishing to take advantage of this robust corporate framework for the realisation of their professional or patrimonial purposes.
Company Formation
We incorporate companies under Mauritian law, in various forms: local Limited companies (so-called “domestic”), offshore structures (GBC & Authorised Companies), sociétés (société civile immobilière …).
This step is fundamental, as it will shape the entire life of the company. Particular attention is paid to the drafting of deeds, then to the completion of all formalities necessary for the registration of the company with the Registrar of Companies (ROC).
Capital Operations, Partnerships & Company Development
Citizen Consult implements the entry admission of new shareholders to the share capital (legal audit, restructuring, negotiation of transfer protocols, asset and/or liability guarantees…) and assists them in the organisation of their relations within the structure (shareholders’ agreement, changes in management…).
We work with our clients and their accountants or management companies to determine the most appropriate way to achieve integration. From the negotiation stage, potential disputes are anticipated in order to minimise risks and optimise relations within the company.
We always take the time to discuss available options with you and explain their consequences.
Once incorporated, the company launches its activity and seeks to develop. This is when we assist you in the negotiation of commercial contracts (commercial lease, sales contracts, framework agreements, service provision, distribution…) and official dealings with the local authorities.
Citizen Consult can carry out compliance audits, or the review of your contracts, to confirm their compliance with Mauritian law. You can also outsource your legal secretarial needs to us (general meetings, management decisions…). Our subscription options allow companies with frequent advisory needs to control their legal fees. Acquisition, Transformation, Structuring, Optimisation…
Mergers & Acquisitions (M&A) & Business Transfers
During its life, a company may seek to diversify, transform, access other markets, establish a group, structure itself to optimise its cash flows, its exposure, or its taxation, or even acquire another company or merge with it… All these complex operations require great vigilance, particularly in cross-border operations. Each step must be approached in an organised and precise manner, identifying risks, to achieve the sought-after economic objective. It is therefore fundamental to call upon experts who are duly regulated and authorised to exercise their legal activity, such as the members of the Citizen Consult firm.
Cessation of Activity, Dissolution & Insolvency Proceedings
When its corporate purpose has been achieved, its profitability is questioned, or for other reasons, the life of the enterprise may be brought to an end. We can help our clients in the context of insolvency proceedings or to carry out the formalities necessary for the dissolution of the company.
